1. Definitions

1.1 "Seller" refers to Solar Trust B.V, a distributor of PV components including panels, inverters, and other related products.

1.2 "Buyer" refers to the individual or entity purchasing goods from the Seller.

1.3 "Goods" refers to the products listed in the Seller's invoice.

 

2. Orders and Acceptance

2.1 The Buyer confirms the order by signing the proforma invoice. This signature is binding.

2.2 A deposit, as indicated in the proforma invoice, is required to confirm the order.

2.3 The deposit is non-refundable unless the Seller is unable to supply the Goods.

2.4 The Seller is not liable if the Goods are not available for supply.

 

3. Prices and Payment

3.1 Prices are quoted in currency as indicated on the  Pro-forma invoice, exclusive of taxes, shipping, and handling charges unless otherwise specified

3.2 Payment terms are as indicated on the pro-forma invoice. 

3.3 The Seller reserves the right to adjust prices due to changes in market conditions, supplier costs, or other factors beyond the Seller's control.

 

4. Shipping and Delivery

4.1 Delivery dates provided are estimates and are not guaranteed. The Seller is not liable for any delays in delivery.

4.2 Risk of loss or damage to the Goods passes to the Buyer upon delivery to the carrier.

4.3The Buyer is responsible for all shipping and handling charges unless otherwise agreed in writing.

5. Inspection and Acceptance

5.1 The Buyer must inspect the Goods immediately upon unloading for any external damage.

5.2 Any external damage must be reported to the Seller immediately upon unloading.

5.3 The Buyer must order an independent inspection company to verify the damage.

5.4 The Buyer must notify the Seller of any other defects, shortages, or non-conformance within 2 days of receiving the Goods.

5.5 Failure to notify the Seller within the specified period constitutes acceptance of the Goods.

6. Warranties and Liability

6.1 The Seller warrants that the Goods will conform to the specifications provided at the time of sale.

6.2 The warranty provided by the Seller is back-to-back with the manufacturer's warranty. The Buyer must address any warranty issues directly with the manufacturer.

6.3 The Seller makes no other warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.

6.4 The Seller's liability for any claim related to the Goods is limited to the purchase price of the Goods.

6.5 The Seller is not liable for any indirect, incidental, or consequential damages arising from the sale or use of the Goods.

7. Force Majeure

7.1 The Seller is not liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, labor disputes, or transportation disruptions.

8. Governing Law

8.1 These terms and conditions are governed by the laws of the Netherlands.

8.2 Any disputes arising from or related to these terms and conditions shall be resolved in the courts of the Netherlands.

9. Miscellaneous

9.1 If any provision of these terms and conditions is found to be unenforceable, the remaining provisions will continue in full force and effect.

9.2 The failure of the Seller to enforce any right or provision of these terms and conditions does not constitute a waiver of such right or provision.

9.3 These terms and conditions constitute the entire agreement between the Seller and the Buyer regarding the sale of Goods and supersede all prior agreements and understandings.
